1. Definitions
- "Art" refers to any designs, graphics, images, or other visual works associated with the Purchased NFT.
- "Fatman Studios" refers to Fatman Studios LLC and its associated platforms or distribution methods.
- "Purchased NFT" refers to any non-fungible token purchased or owned by You from Fatman Studios.
- "Own" means holding legal ownership of a Purchased NFT recorded on the relevant blockchain.
- "Related Content" means all intellectual property, including but not limited to the Art, associated with the Purchased NFT.
- "Third Party IP" refers to third-party intellectual property rights incorporated into the Purchased NFT or its content.
2. Ownership
Fatman Studios LLC retains all intellectual property rights in the Art, Related Content, and any associated trademarks. By purchasing a Fatman NFT, You are granted limited rights as outlined in Section 3, subject to compliance with this Agreement. Ownership of a Purchased NFT does not grant You ownership of the Art or Related Content but provides a limited license to use as described below.
3. License
3.1. Personal Use
You are granted a worldwide, non-exclusive, royalty-free license to use, copy, and display the Art and Related Content associated with the Purchased NFT solely for:
- Personal, non-commercial use.
- Inclusion on third-party platforms that verify ownership and display the Art as part of NFT collections.
3.2. Commercial Use
Commercial use of Purchased NFTs is prohibited without prior written approval from Fatman Studios LLC. For inquiries, please contact us through our platform.
3.3. Restrictions
- Modify, distribute, or create derivative works of the Art or Related Content.
- Use the Art in any way deemed harmful, offensive, or defamatory.
- Decouple the Art or Related Content from the Purchased NFT.
- Sublicense or transfer the license without transferring ownership of the Purchased NFT.
3.4. Transfer of Ownership
Upon transferring ownership of the Purchased NFT, the license granted to You is automatically assigned to the new owner.
4. Disclaimer of Warranties
All NFTs are provided "AS IS" without warranties of any kind. Fatman Studios LLC disclaims all implied warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
5. Limitation of Liability
To the fullest extent permitted by law, Fatman Studios LLC shall not be liable for:
- Losses or damages resulting from the use of the Purchased NFT.
- Security vulnerabilities or unauthorized access to Your wallet or personal information.
- Loss of access to the Purchased NFT due to private key mismanagement, blockchain errors, or third-party platform issues.
In no event shall Fatman Studios LLC’s total liability exceed the original purchase price of the Purchased NFT.
6. Assumption of Risk
By purchasing a Fatman NFT, You acknowledge and accept the following risks:
- NFTs and digital assets are volatile and may lose value.
- The blockchain and third-party platforms may experience outages or technical issues.
- Regulatory changes may impact the use or ownership of NFTs.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.
8. Amendments
Fatman Studios LLC reserves the right to update these Terms and Conditions at any time. Continued use of Your Purchased NFT constitutes acceptance of updated terms.
9. Eligibility
- By purchasing a Fatman NFT, You represent that You are at least 18 years old.
- Have the authority to enter into this Agreement and use lawful funds for the transaction.
10. Indemnification
You agree to indemnify and hold harmless Fatman Studios LLC from any claims, damages, or losses arising from:
- Breach of this Agreement.
- Violations of third-party rights or laws.
- Use or misuse of the Purchased NFT.
11. Severability
If any provision of this Agreement is deemed unlawful or unenforceable, the remaining provisions shall remain in full effect.
12. Entire Agreement
This Agreement, including any incorporated terms, constitutes the entire agreement between You and Fatman Studios LLC regarding the Purchased NFT.
